LLC Filing Fees An LLC may organize by filing Articles of Organization along with a fee of $135. Foreign LLCs must file a Certificate of Authority for a Foreign Limited Liability Company and pay a filing fee of $185.
LLC Name Reservation Information and Fees Minnesota organizers may reserve an LLC name by filing a Request for Reservation of Name with the Minnesota Secretary of State and paying a $35 filing fee. The name reservation remains effective for one year.

Periodic LLC Reporting Requirements Domestic and foreign LLCs must file an Annual Registration accompanied by a filing fee of $35 each year by December 31. The Secretary of State now offers online filing through its website.

LLC Tax Summary Most LLCs must file a Minnesota Partnership Return (Form M3). LLCs filing the Partnership Return may be subject to a minimum fee of $100 through $5,000. LLCs classified as corporations for federal tax purposes must file a Corporation Franchise Tax Return (Form M4)
